“Golden Mean Prosperity Solutions” Disclosures

The “Golden Mean Prosperity Solutions” Strategy invests primarily in exchange traded funds (ETFs). Investors should consider the underlying funds’ investment objectives, risks, charges and expenses carefully before investing. The prospectus of each position, which contains other important information, should be read carefully before investing. The strategy is subject to management risk and an investors’ return and principal value of investment may fluctuate, so that an investment, when liquidated, may be worth more or less than their original investment. ETFs trade like stocks and may trade for less than their net asset value. Louis Scherschel, AIF and St. Bernard Financial Services, Inc.’s reliance on the strategy and its judgments about the value and potential appreciation of the securities in which the strategy invests may prove to be incorrect. Overall market risk, including volatility, may affect the value of the individual instruments in which the strategy invests. There will be brokerage commissions associated with buying and selling ETFs unless trading occurs in a fee-based account. Portfolios in the composite utilize levered index products. Leveraged ETFs are considered risky. The use of leverage strategies by a fund increases the risk to the fund and magnifies gains or losses on the investment. You could incur significant losses even if the long-term performance of the underlying index showed a gain. Most leveraged ETFs “reset” daily. Returns of the “Golden Mean Prosperity Solutions” Strategy are calculated on an equal-weighted, total-return basis, and include dividends, which are assumed to be reinvested, as well as capital appreciation. Portfolio calculations assume rebalancing monthly and at change. Prices utilized for return calculation purposes are closing prices one full trading session following additions to or removals from the “Golden Mean Prosperity Solutions” Strategy. Return calculations include securities that have been removed from the portfolio; performance information on removed securities is available upon request. Annualized Return for the “Golden Mean Prosperity Solutions” Strategy is shown both gross and net of fees. Gross of fees returns do not include the deduction of commissions, advisory program fees, interest charges, or other expenses that would be associated with an investment in those securities. The payment of such commissions, advisory program fees, interest charges, and other expenses will reduce an investor’s overall return. Comparison Index Disclosures

The Standard and Poor’s 500 Value is an unmanaged index calculated on a total-return basis with dividends reinvested. The performance of the Standard and Poor’s 500 Value index does not include the deduction of commissions, advisory program fees, interest charges, or other expenses. Investors cannot invest directly in an index. The Standard and Poor’s 500 Value index contains those securities in the Standard and Poor’s 500 index with a below-average growth orientation. Constituent securities tend to possess higher book-value-to-price ratios, cash-flow-to-price ratios, sales-to-price ratios, and dividend yields compared to their counterparts in the Standard and Poor’s 500/Citigroup Growth Index. The benchmark is often used as a measure of large-capitalization, value-oriented common stock performance in the United States. Standard and Poor’s 500 Value P/E ratios are based on Thomson First Call Consensus estimates, excluding figures that haven’t been updated within 90 days. The investment strategy and types of securities held by the comparison indices may be substantially different from the investment strategy and the types of securities held by the “Golden Mean Prosperity Solutions” Strategy.

Confidentiality and Security

We consider the information we have about you to be confidential, including the fact that you are a St. Bernard Financial Services, Inc. client. Your information will be handled in the manner described in this notice. We restrict access to information about you to those employees and authorized agents who need to know that information. We maintain physical, electronic and procedural safeguards that comply with federal standards to maintain the confidentiality of your information.

Information We Collect

At St. Bernard Financial Services, Inc., we collect the following types of information about you:

  • Information contained in new account forms, applications, or agreements you enter into to receive our products or services, including your name, address, social security number, income, and investment objectives.
  • Information about your transactions with us.
  • Information from other affiliates of St. Bernard Financial Services, Inc., in accordance with that affiliate’s privacy policy.
  • Information from other parties or sources such as public databases.

Third Parties to Whom We Disclose Information

We do not disclose your personal information to third parties, unless one of the following exceptions applies:

  • We disclose personal information to investment providers that assist us in processing your transactions or servicing your account(s). An example would be a mutual fund company where you are invested that also prints and mails your account statements.
  • We disclose personal information in limited circumstances when we believe in good faith that disclosure is required under law. For example, we would provide information in cooperation with security regulators or law enforcement authorities, to resolve consumer disputes, or to perform credit evaluations and authenticate checks.
  • We disclose personal information to other parties as authorized by you. You may direct us, for example, to send your account statements and confirmations to third parties.

We view the safety and security of the assets in your accounts as a priority equal in importance to the work we do helping you build, enjoy and share your wealth.

St. Bernard Financial Services, Inc. Business Continuity Plan

St. Bernard Financial Services, Inc. maintains a Business Continuity Plan in place that provides detailed steps to mitigate and recover from the loss of office space, communications, services or key people. The Business Continuity Plan covers natural disasters such as snow storms, tornados, fire, and flooding. The Plan covers man-made disasters such as loss of electrical power, loss of water pressure, fire, bomb threat, nuclear emergency, chemical event, biological event, communications line outage, internet outage, railway accident and aircraft accident. Electronic files are backed up daily and archived on- and off-site. Alternate work locations are identified to support ongoing operations in the event the main office is unavailable. It is our intention to contact all clients within five days of a disaster that dictates moving our office to an alternate location.

Key Distinction Between Brokerages and Banks

It is important to understand a fundamental difference between how assets are treated in a bank account versus that of a brokerage account. Banks are only required to have a fraction of all deposited money on hand to ensure they can meet minimum cash flow needs. Should a bank fail, and not have sufficient funds to fully reimburse its depositors, Federal Deposit Insurance Corporation (FDIC) protects depositors of member banks, up to certain limits. In the brokerage industry, on the other hand, your assets are held in custody by your brokerage firm. Unless you are using margin, we use affiliates to custody your assets holding them on your behalf, but not lending them to others. So your assets should always be available to you.

Thorough Measures to Protect your Assets

The assets held in an account at St. Bernard Financial Services, Inc. have multiple layers of protection which include:

  • The fiscal stewardship of St. Bernard Financial Services, Inc.
  • Compliance with Securities and Exchange Commission (SEC) requirements.
  • Securities Investor Protection Corporation (SIPC) insurance.
  • Segregating your assets from firm assets, thus protecting them from potential losses of the firm.
  • Complying fully with SEC rules requiring all broker-dealer firms to maintain sufficient net capital to ensure that you will get your cash and securities back, in the unlikely event that our firm should fail.

Access Agreement for Guests of Scherschel Wealth

This Access Agreement is between Scherschel Wealth, an independent practice of St. Bernard Financial Services, Inc., member NYSE/FINRA/SIPC, (including any affiliates, divisions or units) (collectively, “Scherschel Wealth”) and any guests or clients of Scherschel Wealth (“you” or “your”), and relates to certain information (the “Information”) to which you will have electronic access through the scherschelwealthsolutions.com or any affiliated sites, including stbernardfinancial.com (collectively, the “Site”):

“Guest”: Any user of the Site other than a current client of Scherschel Wealth. “Client”: Any current client of Scherschel Wealth. If you are a Scherschel Wealth client, this Agreement is in addition to, and does not nullify, any other agreement between you and Scherschel Wealth governing the conduct of your relationship with Scherschel Wealth. Not all of the services and products mentioned in this Site are available in every state. You acknowledge that the information within this Site has been prepared for informational purposes only and is not an offer to buy or sell, or a solicitation of an offer to buy or sell, any security or instrument or to participate in any particular investment or trading strategy. If you wish to learn more about information contained on the Site, please contact a Scherschel Wealth representative.

Services Provided

A Guest and/or Client will be deemed to accept and agree to be bound by the terms and conditions of this Agreement by using the Site. Scherschel Wealth shall provide you with electronic access, through your computer or other electronic device (collectively “Computer”), to the Information, including, but not limited to, the provision of Information through the Site by means of an unaffiliated Internet service provider (the “Provider”) and the ability to communicate electronically with Scherschel Wealth (“E-mail”). Scherschel Wealth may cancel or change the Information at any time upon printed or electronic notice. Your continued use of the Information following the posting or other notice of any changes will constitute your acceptance of such changes. You agree not to attempt to connect to the Site, to use the Information or to view any of the Information if you do not agree to the terms of this Agreement.

Electronic Communication

The Information permits you to communicate electronically by sending an E-mail message to Scherschel Wealth. You agree not to use E-mail for the transmission of orders to purchase or sell a security or to transfer funds, or to transmit any personal credit information (including credit card numbers), to give notice of a change of address or to give Scherschel Wealth any time-sensitive instructions. In addition, if you are a Scherschel Wealth Client, you agree not to use E-mail made available through the Information to give Scherschel Wealth any instruction affecting your account(s) or any linked accounts, including, but not limited to, placing orders to purchase or sell a security or to transfer funds. Scherschel Wealth shall not be liable for any actions taken or any omissions to act as a result of any E-mail message you send to Scherschel Wealth.

Property Rights in Information and Services; Suitability and Compliance with Law

Any Information provided through the Site is being provided by Scherschel Wealth only for your personal, non-commercial use and display. You may download the Information to the Computer and print out a hard copy for your personal reference, provided that you agree not to remove any copyright or other notices contained therein.

Scherschel Wealth shall use reasonable precautions to maintain the confidentiality of the information you have provided to Scherschel Wealth and information you have created, input or developed in connection with your use of the Information, but because such information can be accessed through the Internet, you hereby acknowledge and agree that there can be no assurance that the information, and material provided to you through the Information, or any communication through e-mail will remain secure. In addition, Scherschel Wealth may disclose such information to its employees, representatives, officers, agents and affiliates, as well as a government entity or any other third party agent or data or information provider (a) for any purpose related to the conduct of Scherschel Wealth’s business or to the offering, providing, or maintaining of the Information, (b) to comply with applicable rules, orders, subpoenas or other legal process, or in order to give information to any government agent or official requesting such information or (c) for any other legitimate business purpose.

Governing Law

Except for statutes of limitation applicable to claims, this Agreement and all the terms herein shall be governed by and construed in accordance with the laws of the State of Arkansas without giving effect to principles of conflicts of law. By browsing or accessing this Site, you accept and agree to be bound by the laws of such jurisdiction. In the event that you do not agree to be bound by such laws, you must immediately discontinue your browsing or access to this Site. The statute of limitations applicable to any claim shall be that which would be applied by the courts of the state in which you reside. You agree that any action to enforce this Agreement shall be brought in the federal courts located in Little Rock, Arkansas.

Termination

Either you or Scherschel Wealth may terminate this Agreement and your access to the Information at any time with or without notice. Scherschel Wealth may discontinue or change the Information, or its availability to you, at any time. Paragraphs 4, 6 and 11 shall survive the termination of this Agreement.

Assignment

The rescue and/or any commercial redistribution of the Information is not permitted. This Agreement and your rights and obligations hereunder may not be assigned by you without the written permission of Scherschel Wealth and shall inure to the benefit of Scherschel Wealth, its successors and assigns whether by merger, consolidation or otherwise. Scherschel Wealth may assign this Agreement or any of its rights or obligations under this Agreement to a company affiliated with Scherschel Wealth, or to a successor to an assignee of Scherschel Wealth or to any other third party.

Miscellaneous

This Agreement represents the complete and exclusive statement of the agreement and understanding between you and Scherschel Wealth, regarding our rights to access and use the Information on the Site, and supersedes all prior and contemporaneous agreements and representations regarding such subject matter. Except as herein provided, no waiver, modification or amendment of any provision of this Agreement shall be effective against Scherschel Wealth unless the same is in writing and signed by an authorized official of Scherschel Wealth. Scherschel Wealth may modify these terms and conditions at any time upon written notice or by posting the change or amendment electronically to the Site. Scherschel Wealth reserves the right, in its sole discretion, to deny access to any user to this Site, or any portion hereof. You agree that if you use the information after such notification of changes in the Agreement, you will be bound to all such changes. At the time of such modification, you will have the opportunity to reject such modification, which rejection shall constitute a termination of this Agreement and of your rights to access and use the Site and Information. Should any term or provision of this Agreement be deemed or held to be invalid or unenforceable, the remaining terms and provisions shall continue in full force and effect.

Scherschel Wealth’s failure to insist at any time upon strict compliance with any term of this Agreement, or any delay or failure on the part of Scherschel Wealth to exercise any power or right given to Scherschel Wealth in this Agreement, or a continued course of such conduct on the part of Scherschel Wealth shall at no time operate as a waiver of such power or right, nor shall any single or partial exercise preclude any other future exercise, all rights and remedies given to Scherschel Wealth in this Agreement are cumulative and not exclusive of any other rights or remedies which Scherschel Wealth otherwise has at law or equity.

Indemnification

As a condition of your use of the Site, you hereby agree to indemnify and hold harmless Scherschel Wealth (and its directors, officers, employees, control persons, vendors, licensors and agents), the Provider, and any third party provider from and against any and all claims, losses, liabilities, damages, costs and expenses (including reasonable attorney’s fees and costs) arising out of or related to your breach of your agreements, representations and warranties contained in this Agreement or your use of the Information (i) in violation of this Agreement, (ii) in violation of any rights of Scherschel Wealth, the Provider and any third party Information Provider, including copyright, patent, trade secret, trademark, or other intellectual property rights and publicity and privacy rights, or (iii) in violation of any applicable law, rule or regulation. This indemnification shall be binding upon you and your executors, heirs, successors, and assigns.

BY ACCESSING THIS SITE, I AGREE THAT I HAVE READ AND UNDERSTAND THIS AGREEMENT AND AGREE TO BE BOUND BY ALL OF ITS TERMS AND CONDITIONS; AND I ACKNOWLEDGE THAT I HAVE READ AND RECEIVED ELECTRONICALLY A COPY OF THIS AGREEMENT.
